Entrepreneurship

We provide advice to both entrepreneurs and investors when creating start-ups and new businesses. We guide and orient them throughout their enterprising initiatives by providing advice, among others, in the following areas:

· Drafting of partner agreements: private contracts which regulate each partner’s role and functions as well as the contribution that they will make to the project, in addition to including clauses regulating certain circumstances such as the entry of new investors, the qualified majorities for making critical corporate decisions, the investors’ participation in the company administration as a member of the board of directors and the dividend distribution requirements.

· We provide advice to start-ups on how to detect potential risks of copies or imitations, protection of intellectual property (of vital importance for technology start-ups, so that they can expressly protect their ownership) and industrial property, with the aim of determining the need to register their trademark to enforce their exclusive right and register the start-up as a patent or utility model, depending on the level of inventiveness.

· We provide financial advice to both entrepreneurs and investors in the seed capital, business angel and venture capital phases with formulae where capital is provided by investors in exchange for a share of the company.
